1. Introduction

These Terms and Conditions ("Terms") govern your use of the Pingcoin mobile application (the "App") and any related services provided by Pingcoin ("we," "our," or "us"). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

2. Description of Service

Pingcoin provides a coin authentication service that uses acoustic analysis technology to help users verify the authenticity of precious metal coins. The App analyzes the resonant frequencies produced when a coin is struck and compares them against our reference database.

3. Subscription Plans

3.1 Collector Annual Subscription

The Collector Annual Subscription is designed exclusively for personal, non-commercial use by individual coin collectors. This plan is intended for hobbyists and private collectors who wish to verify coins in their personal collection or for personal acquisition purposes.

Personal Use Restriction: By subscribing to the Collector Annual Subscription, you represent and warrant that you will use the Service solely for personal, non-commercial purposes. You may not use the Collector Annual Subscription for any commercial activity, including but not limited to:

  • Operating a coin dealership or trading business
  • Providing authentication services to third parties
  • Reselling authentication results or verdicts
  • Any activity where coin authentication is performed as part of a business operation

3.2 Professional Dealership Plans

For commercial users, including coin dealers, authentication services, auction houses, and other professional operations, Pingcoin offers Professional Dealership Plans with appropriate licensing, pricing, and support tailored to business use.

4. Usage Monitoring and Compliance

4.1 Right to Monitor

You acknowledge and agree that Pingcoin reserves the right to monitor usage patterns associated with your subscription to ensure compliance with these Terms. This monitoring may include, but is not limited to, tracking the number of authentication verdicts performed within a given period.

4.2 Usage Threshold

Usage exceeding one hundred (100) authentication verdicts per calendar month may be deemed indicative of commercial or professional use inconsistent with the personal use restrictions of the Collector Annual Subscription.

4.3 Investigation and Remediation

If your usage patterns suggest commercial activity or otherwise exceed what is reasonably consistent with personal use, Pingcoin reserves the right to:

  1. Investigate your use of the Service to determine whether it complies with these Terms;
  2. Contact you to request information regarding your use of the Service;
  3. Offer you an opportunity to upgrade to an appropriate Professional Dealership Plan that accommodates your usage requirements;
  4. Suspend or terminate your Collector Annual Subscription if you decline to upgrade and your usage is determined to be in violation of these Terms.

4.4 Good Faith Determination

Pingcoin will make all determinations regarding commercial use in good faith and will provide you with reasonable notice and opportunity to respond before taking any adverse action against your account.

5. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Pingcoin immediately of any unauthorized use of your account.

6. Accuracy of Results

6.1 No Guarantee

While Pingcoin strives to provide accurate authentication analysis, the Service is provided as a tool to assist in coin authentication and does not guarantee the authenticity of any coin. Authentication results ("verdicts") are based on acoustic frequency analysis and should be used as one factor among several in evaluating coin authenticity.

6.2 Not Professional Appraisal

The Service does not constitute a professional appraisal, certification, or guarantee of authenticity. For high-value transactions, we recommend consulting with professional numismatists or certified grading services.

7. Intellectual Property

All content, features, and functionality of the App, including but not limited to software, algorithms, text, graphics, logos, and audio analysis technology, are the exclusive property of Pingcoin and are protected by international copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Pingcoin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

  • Your use or inability to use the Service
  • Any authentication results provided by the Service
  • Unauthorized access to or alteration of your data
  • Any other matter relating to the Service

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pingcoin and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

11. Modifications to Terms

Pingcoin reserves the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms within the App and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

12. Termination

Pingcoin may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Pingcoin operates, without regard to its conflict of law provisions.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pingcoin regarding the use of the Service and supersede any prior agreements.
